Vendor Acknowledgment & Agreement

By submitting this application and all accompanying documents, I acknowledge and understand that this submission does not guarantee consideration, selection, assignment, or placement into any position or work opportunity with Tri-Car. I further understand that no offer of employment, contract, or work whether temporary, part-time, full-time, or project-based is implied or guaranteed by this submission.

I hereby authorize Tri-Car to verify all information, references, certifications, qualifications, insurance coverage, and documents provided. I affirm that all information submitted is truthful and complete to the best of my knowledge. I understand that any falsification, misrepresentation, or omission may result in disqualification, removal from consideration, or termination of any existing or future work relationship.

I further acknowledge and agree to the following conditions governing assignments performed on behalf of Tri-Car:

1. Non-Compete / Non-Circumvention

   For a period of ninety (90) days following completion of any Tri-Car assigned load or project, I agree not to directly or indirectly accept, solicit, or perform similar services for the same customer, shipment, or project without the express written consent of Tri-Car.

2. Non-Solicitation of Customers

   I agree not to solicit, pursue, or attempt to establish independent business relationships with Tri-Car customers, shippers, carriers, or brokers introduced through Tri-Car, except with prior written authorization.

3. Confidentiality of Rates & Work Information

   I agree that compensation, rates, pay structures, and related financial terms associated with Tri-Car loads or projects are confidential. I will not discuss, disclose, or compare such information with other vendors, drivers, or individuals involved in Tri-Car operations.

4. Load & Dispatch Confidentiality

   I agree not to discuss, negotiate, or speculate about potential loads, assignments, scheduling, or dispatch matters with drivers or other unauthorized parties. All work communications will be conducted through Tri-Car or its designated representatives.

5. 5. Logistics Coordination Fee

   I acknowledge that Tri-Car provides logistics coordination, customer acquisition, load procurement, and/or project facilitation services. I agree that invoices submitted for Tri-Car coordinated assignments shall acknowledge a coordination fee equal to ten percent (10%) of the vendor’s billed service charges. The coordination fee applies solely to service-related compensation and expressly excludes pass-through expenses, including but not limited to hotel costs, overnight charges, meals, fuel, tolls, permits, or any reimbursable expenditures. The coordination fee shall be calculated only on charges for services performed.

6. Professional Conduct & Representation

   I understand that while performing services on behalf of Tri-Car, I represent Tri-Car’s professional standards and agree to conduct myself accordingly.

7. Acknowledgment and Responsibility for Submitted Drivers

   The Vendor represents and warrants that the undersigned owner or authorized representative has read, understands, and agrees to all terms outlined in this Agreement. The Vendor further acknowledges that any driver, operator, or personnel submitted, assigned, or engaged by the Vendor to perform services under this Agreement is subject to these same terms and conditions. The Vendor accepts full responsibility for ensuring such individuals comply with all applicable provisions of this Agreement.
